These Terms & Conditions ("Terms") govern access to and use of the Stackd loyalty rewards platform, operated by Datanetics (Pty) Ltd, trading as Stackd Rewards ("Stackd", "we", "us"). By registering a business account, using the operator dashboard, or interacting with a Tenant's check-in page as a Customer, you agree to these Terms.

If you do not agree to these Terms, do not use Stackd.
1. Definitions
- "Tenant" — a business that has registered on Stackd to run a loyalty programme.
- "Operator" — a staff member of a Tenant with access to the operator POS/dashboard.
- "Customer" — an individual who checks in and earns stamps or points at a Tenant's business via the public check-in page.
- "Platform" — the Stackd software, including the check-in page, operator tools, tenant admin dashboard, billing portal, and public API.
2. Accounts and eligibility
- A Tenant account must be registered by an authorised representative of the business, using accurate business and contact information.
- You must be at least 18 years old to register a Tenant account or hold an Operator role.
- Each Tenant is responsible for the confidentiality of its staff logins and API tokens, and for all activity conducted through its account.
- Stackd may suspend or terminate a Tenant account for breach of these Terms, non-payment, or suspected fraudulent or abusive use of the Platform.
3. The service
Stackd provides:
- A PIN-based check-in flow allowing Customers to earn stamps or points with no app download required
- An operator point-of-sale tool for issuing PINs, awarding stamps/points, and confirming reward redemption
- A tenant admin dashboard for configuring loyalty rules, rewards, coupons, staff, and branding
- Optional WhatsApp notifications (stamp-card updates, win-back nudges) via Stackd's shared WhatsApp Business number, subject to Customer opt-in
- A billing portal and, for API integrators, a REST API
Stackd reserves the right to modify, add, or discontinue features of the Platform at any time. Material changes affecting a Tenant's ability to use the Platform will be communicated in advance where reasonably possible.
4. Subscriptions and billing
- Stackd operates on a subscription basis. Current plans and pricing are listed on the pricing page.
- New Tenants receive a 14-day free trial (extended to 30 days when signing up via a valid referral link). No payment is required during the trial.
- Billing cycle: monthly or annual, selected at sign-up or changed later via the Billing portal. Annual billing is charged at 10× the monthly rate (equivalent to two months free).
- Payment methods: PayFast (card/instant EFT, processed automatically) or manual EFT (invoiced in advance, confirmed on receipt of payment).
- Failed payment: if a PayFast payment fails, the subscription enters a past-due state with a 7-day grace period. Reminder emails are sent at day 1, day 3, and day 7 of the grace period. If payment is not resolved within this window, the subscription is marked expired and access to Tenant-facing features is suspended.
- Cancellation: a Tenant may cancel at any time from the Billing portal. Cancellation takes effect at the end of the current billing period; no partial refunds are issued for the remainder of a paid period, except at Stackd's sole discretion.
- Invoicing: all invoices are issued with a platform-wide sequential invoice number
(
INV-000001, etc.) and are never deleted or voided. Corrections are issued as credit notes referencing the original invoice. - VAT: 15% VAT is applied to all subscription and WhatsApp credit charges, as required by South African tax law.
- WhatsApp credits: WhatsApp messaging is billed separately via a prepaid credit system. Credits are purchased via PayFast (EFT-billed Tenants are not currently able to purchase WhatsApp credits) and are consumed one credit per message sent. Credits do not expire, but Stackd offers no refund on unused credits except at its sole discretion.
5. Referral programme
- Each Tenant receives a unique referral code at sign-up.
- A business signing up via a valid referral link receives an extended 30-day trial.
- The referring Tenant earns one month of subscription credit once the referred Tenant's first paid billing period is confirmed. Credits are stackable and do not expire.
- Each referee account may only be credited to one referral — repeat or duplicate referral claims will not be honoured.
- Stackd reserves the right to withhold or reverse referral credit in cases of suspected abuse of the referral programme.
6. Acceptable use
You agree not to use Stackd to:
- Send WhatsApp messages to a Customer who has not opted in, or continue messaging after a Customer has opted out
- Circumvent, tamper with, or attempt to reverse-engineer the PIN generation or validation mechanism
- Access another Tenant's data without authorisation
- Upload unlawful, defamatory, or infringing content (e.g. via tenant branding/logo uploads)
- Use the Platform in a way that places undue load on shared infrastructure, or attempt to bypass API rate limits
- Resell or sublicense access to the Platform without Stackd's written consent
Breach of this section may result in immediate suspension or termination of your account, without refund.
7. Customer data and your responsibilities as a Tenant
As a Tenant, you are a data controller (responsible party under POPIA) for the personal information of your Customers collected through your check-in page. You agree to:
- Only use Customer data collected via Stackd for operating your own loyalty programme
- Never attempt to extract, export, or use Customer WhatsApp numbers for messaging outside the Stackd platform
- Handle any Customer data you view on the operator dashboard (masked contact details, transaction history) in accordance with POPIA

8. Intellectual property
- The Stackd Platform, including its software, design, and branding, is the property of Datanetics (Pty) Ltd and is protected by applicable intellectual property law.
- Each Tenant retains ownership of the branding assets (logo, brand colour) it uploads, and grants Stackd a limited licence to display these assets within the Tenant's own check-in page, WhatsApp messages, and admin dashboard, solely to operate the Tenant's loyalty programme.
- Tenants may not copy, modify, or create derivative works of the Stackd Platform itself.
9. Third-party services
Stackd integrates with the following third-party services, each subject to its own terms:
- Meta / WhatsApp Business Platform — for WhatsApp message delivery
- PayFast — for subscription and WhatsApp credit payment processing
Stackd is not responsible for the availability, performance, or policies of these third-party services.
10. Disclaimers and limitation of liability
- The Platform is provided "as is" and "as available," without warranties of any kind, express or implied, to the maximum extent permitted by law.
- Stackd does not guarantee uninterrupted or error-free operation of the Platform, including WhatsApp message delivery, which depends on third-party infrastructure outside our control.
- To the maximum extent permitted by law, Stackd's total liability for any claim arising from use of the Platform is limited to the amount paid by the Tenant for the subscription in the three (3) months preceding the claim.
- Stackd is not liable for indirect, incidental, or consequential damages, including loss of profits, loss of data, or loss of business opportunity.
Nothing in these Terms limits any right that cannot lawfully be excluded under South African consumer protection law.
11. Termination
- A Tenant may terminate its account at any time via the Billing portal cancellation flow.
- Stackd may suspend or terminate access immediately for breach of these Terms, non-payment beyond the grace period described in Section 4, or suspected fraud.
- On termination, audit records (transactions, point ledger, invoices) are retained as described in our Privacy Policy, in line with South African record-keeping requirements — they are not deleted.
12. Governing law
These Terms are governed by the laws of the Republic of South Africa. Any dispute arising from these Terms or use of the Platform is subject to the exclusive jurisdiction of the South African courts.
13. Changes to these Terms
We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date at the top of this page, and, where reasonably practicable, communicated to Tenants in advance. Continued use of Stackd after a change constitutes acceptance of the updated Terms.
